1. Acceptance of Terms

By accessing or using IndyLead, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our services.

2. Description of Service

IndyLead provides an automated bridge between the IndiaMART CRM and the WhatsApp Business API. The service includes automated lead pulling, AI-generated message drafting, and WhatsApp communication logging.

3. Acceptable Use Policy (AUP) & WhatsApp Compliance

You agree to use IndyLead only for lawful business communication. You explicitly agree to adhere to Meta’s WhatsApp Commerce and Business Policies.

No Spam: You shall not use IndyLead to send unsolicited messages, spam, or promotional blasts that violate local telecom regulations (e.g., TRAI in India).
Opt-in Requirement: You are solely responsible for ensuring you have the legal right or explicit opt-in consent to message the leads pulled from IndiaMART.
Account Suspension: We reserve the right to suspend or terminate your account immediately if Meta flags your WhatsApp number for spam, or if we detect abuse of our AI processing systems.

4. API Responsibilities

You are responsible for maintaining the confidentiality of your IndiaMART API keys and WhatsApp Business authentication tokens. IndyLead is not liable for any unauthorized access to your IndiaMART or WhatsApp accounts resulting from your failure to secure your credentials.

5. Subscription & Payment Terms

IndyLead operates on a SaaS subscription model. Fees are billed in advance. Failure to pay subscription fees may result in immediate suspension of lead-pulling and messaging services. Subscription fees are non-refundable except where mandated by law.

6. Limitation of Liability

To the maximum extent permitted by law, IndiaExcite IT Solutions Pvt. Ltd. shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, lost IndiaMART leads, or WhatsApp account bans arising from your use of IndyLead. Our total liability is limited to the subscription fees paid by you in the 3 months preceding the claim.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
